Some Louisiana businesses have recently received an “Annual Records Solicitation Form” from the Louisiana Council for Corporations. Louisiana business entities should be aware that the “Louisiana Council for Corporations” is NOT AFFILIATED or associated with Louisiana state government in any way.
The Annual Records Solicitation Form is an official-looking form which appears similar to a form that, in the past, was mailed by the Louisiana Secretary of State and was required to be completed by all registered corporations and limited liability companies. Apparently the purpose of the form and a $125 document fee is the filing of annual meeting minutes, which is not required under the Louisiana Business Corporation Laws.
